[0:01] Carl: Sorry, guys. Hello. Hello, Carl. It's not the best of luck. [0:14] Speaker B (unidentified): Yeah, it's two more to the chest the same day. Great. [0:19] Carl: Well, let's call this the Cemetery Committee meeting to order. First item is approval of September 23rd minutes. So moved. Second. All those in favor? All those opposed? So voted. Public comment on non-agenda items. Do I have anything? Okay, then cemetery software, which is a continual kind of continuation from our last meeting. I think we had several questions for Rob. I think primarily, David, you had some on the [0:59] Speaker C (unidentified): liability and, yes, I'd ask about the liability insurance. Yep. [1:06] Jody: I sent it all over to Jody and, it was the main one was the cyber. I know we've got all of the liability and everything in there as well, but I sent over a copy of our cyber insurance for one mil as well. And if you guys need it anymore, we talked to the legal department and they said it doesn't need any more for the cemetery, but you should have that copy now for one million of cyber insurance. [1:33] Carl: Okay. And then I'd asked you before about exporting all the data and you said everything's all set there. Yeah, and if we go over 12,000 plots, it'll be 500 per thousand for the, for the mapping. Is that it? Yes, sir. Yeah, and you can take the existing mapping we have and match up the data points with your new mapping to make sure everything fits. That's, that's correct, yes. Okay. Anybody else have anything on that? You just wanted the liability? [2:17] Speaker B (unidentified): Well, this doesn't really give me much information at all. [2:21] Carl: Yeah, what additional information? [2:25] Speaker B (unidentified): Well, I'd like to see the insurance policy itself. [2:30] Carl: Copy the insurance policy? [2:32] Speaker B (unidentified): What it covers, exactly. This is very, this just lists. This is a certificate. It, yeah, it just lists the amounts of professional indemnity, but it doesn't really explain the liability for breach, for example, what happens in the event of ransomware, those kinds of things. So [3:00] Carl: is it possible to get a copy of the policy? Absolutely. Yeah, I think I already sent over [3:06] Jody: the liability insurance and stuff to Jody as well. She should have it, but I'll resend it. I'm not going to have it right here in front of me, but I'll make sure you have that. [3:19] Carl: Okay. Is that something we should have before, review that before we vote on this? Well, [3:27] Speaker B (unidentified): if we voted on it, I'll abstain. Okay. Because I really can't make a decision based on this. Okay. [3:39] Carl: Yeah, I'll, I guess then we're not able to make a decision on this at this time then. You know, spending that kind of money with members with the questions, that is a lot of money for us to spend. What may I ask a question real quick? What do [3:59] Speaker E (unidentified): you expect to see for a liability insurance for a software as a service platform? I'm just curious, just make sure that things are lined up and get you all the info you need for the next meeting. [4:10] Speaker B (unidentified): Well, the policy should contain explicit events that are to be covered by the liability insurance itself and by the cybersecurity itself. This simply lists indemnity insurance and then the premium or then the amount. Amount. And I have no idea whether or not, for example, a breach of data, a loss of data, a ransomware event would be covered. And those will be covered in a liability insurance policy, Ben. [4:56] Speaker E (unidentified): And that's very... I'm just trying to think of what the town would be trying to recoup from that. I'm just trying to think of a name. I haven't been on the other side two steps down. From that I've seen directly how it affects a company as it comes through, so I was just [5:14] Speaker B (unidentified): trying to figure out the other side. It's really very standard for software as a service companies, Ben, that they're, they offer the liability insurance. Yeah, I'll make sure you get it. I was just trying to find it because I know you sent it. These amounts, these amounts are backed up with detailed descriptions of what their events are that would be considered indemnified, I'll be fine. But I just haven't seen the policy. What I'm looking at right now is simply a description of the certificate. [5:56] Speaker E (unidentified): Also, I gotcha. I see what was sent through now, sorry. [6:00] Speaker B (unidentified): But apparently the policy is available and I'd be glad to look at it as soon as I can see it and give you my opinion. No problem. Okay. I thought that's what I was asking for last meeting. [6:18] Jody: I just had it down to on the last meeting for the cyber insurance. So I got that. But if you need the liability breakdown, I'll get you that as well. [6:27] Speaker B (unidentified): That's no problem. Yeah. Thank you very much for getting it. I mean, it's certainly a start. Yeah. It's not the whole story. Okay. [6:36] Carl: So then we'll have to postpone the approval of this pending your review of that insurance. [6:45] Speaker B (unidentified): And I'd be glad to do that as soon as, I mean, if you can get it to me now I'll look at it now. Okay. [6:52] Carl: We'll take a, I'll run up check with Jody, see if she's got it and I'll, I'll be right back. [8:09] Jody: So I've just pulled it up now on this. I can send it over, but I've got it down to the general liability is 20 million, professional indemnity is 2 million aggregate, and cyber liability is 1 million, and I can send you the certificate tool for that as well. [8:29] Speaker B (unidentified): Then the numbers, the numbers are fine. I, you know, I need to read the policy as to what they are actually going to consider a cyber security breach, for example. I mean, I was on the other end of this for years, you know, as a software as a service company, so yeah. [9:06] Jody: No worries, I'll get you the policy wording and I'll send it over as soon as I can get it and the fact that it's done. [9:12] Speaker B (unidentified): By Lloyds is, you know, it's reassuring. They know what they're doing and I just need to see it. [9:45] Carl: Sorry to be such a pain about it. No problem, Jody didn't have a copy of it yet, I guess you're emailing it now, so I guess we'll have to postpone this for potentially our next meeting. I mean, I'm just one vote. No, it's, yeah, but it's there again, you're the one that has the of the experience with dealing with software and stuff. The, what about if we just do the data only and hold off on the mapping? We'll be able to have the data online. [10:34] Jody: Yeah,, cause I know that the truth source on the headstone survey and the ground truth audit, it's all gonna be at the same time. Okay. I've actually got, I've actually got two documents here with the policy wording, let me just share my [10:48] Speaker C (unidentified): screen, see if this is going to be enough, so [10:57] Jody: i've got this one here where it's got all the policy wording in here it's got all the contents you see that let's go let's see so i'll send you all over this as well we've got all of the policy wording in it's it's an extensive document that will have it in there and then also on the i think this one may be the one you've got with the sure technology risks and then this has got all the policy information in as well if you don't have this one rob can you pull up the first document you [11:33] Speaker B (unidentified): were scrolling through so I can see the table of contents would be, yeah, just, yeah, I think the [11:39] Speaker E (unidentified): first one had what you're looking for, you can't read that thing, we're [11:56] Speaker B (unidentified): not seeing it, what is covered [12:02] Speaker E (unidentified): You're on, you're sharing the Chronicle RIP, there you go. [12:19] Jody: And so it's got, I'll send all this over right now as well, but it's general exclusions, claims, all this kind of stuff. [12:35] Carl: You want to see the cyber breach response, the details on that or anything in particular? [12:40] Speaker B (unidentified): I WANT TO SEE THIS WHOLE DOCUMENT, AND THIS IS THE DOCUMENT THAT PERTAINS TO OUR YES [13:02] Jody: YEAH I THINK THIS IS OUR VERSION SO YOU CAN SEE WHAT EXACTLY WE'RE INSURING [13:06] Speaker E (unidentified): YOU ON YEP [13:09] Carl: OKAY WE'LL JUST REVIEW THAT AND UH SCHEDULE ANOTHER MEETING YEP I'LL SEND [13:16] Jody: THIS OVER RIGHT NOW TO THE TO THE WHOLE TEAM IF YOU WANT IF YOU WANT TO WAIT IT'S NOT GOING [13:26] Speaker B (unidentified): I hate to hold you up if you're eager to get this going forward. [13:36] Carl: Well, Jeff's got to leave here shortly. [13:41] Jody: I'll send it back to Rob. [13:44] Speaker E (unidentified): Did you send it to that group email, Rob? I did. Yeah, so David, you should have the copy of that because I had your email on it too, I believe. [14:02] Carl: Yeah, you should have it. You should have it in your email. Okay. We'll take a 10-minute break and [14:12] Speaker B (unidentified): HAVE YOU REVIEWED THAT PROBABLY WON'T TAKE ME ANY MORE THAN THAT OKAY I'LL BE RIGHT HERE I'VE SIGNED DOZENS OF THESE IS THIS ENTITLED TECHNOLOGY PACKAGE POLICY WORDING IS THAT [14:44] Jody: IT THAT'S THE ONE YET AND THEN THERE'S THIS THE OTHER ONE IS THE UH CERTIFICATE RENEWAL POLICY [15:40] Speaker B (unidentified): Yeah, I noticed that this policy is written under Australian law. Are we sure that it will apply here in the United States? [15:59] Jody: I mean, that's the one he's given me for it. So that's the one that we've insured all of our cemeteries on here. So, you know, yes, is the answer that I've been given. Yeah, the certificate is territorial limits worldwide. [17:11] Speaker B (unidentified): Where do you see that? Just direct me to that, if you would. TERRITORIAL LIMITS MEANS THE TERRITORIAL LIMIT REFERRED TO IN THE SCHEDULE TO THE POLICY. I'M ON PAGE 26. [18:02] Jody: YEAH, I'M LOOKING FOR THE WORLDWIDE. [18:27] Speaker B (unidentified): I THINK THAT'S REALLY THE ONLY ISSUE I HAVE RIGHT NOW LOOKING THROUGH THE COMPONENTS OF THE LIABILITY AND JUST I WANT TO MAKE SURE THAT IT WILL COVER your clients in the United States and is not only scheduled for Australian clients. [18:49] Speaker E (unidentified): I'm parsing the package too. Let me just throw it through there. [19:00] Speaker B (unidentified): Now, of course, I would feel a whole lot more secure if the lawyer for the town were to have reviewed this. But I can just give you my own experience here. And it's not, I'm not a lawyer. I want to make sure that the minutes refer mentioned that I am declaiming being a lawyer here. However, this policy looks like it's very strong and would likely meet my satisfaction. Just, I just, let's make sure that it does will does cover your clients outside of Australia you want [19:53] Carl: to make a motion with that disclaimer and once they can provide satisfactory documentation that pertains to outside of Australia [20:06] Speaker C (unidentified): then we can get this thing moving yep that would be great I'm I'm impressed [20:13] Speaker B (unidentified): Impressed with the thoroughness of this policy, and the company that issued it is, of course, highly respectable. But I just don't see where. So Rob, if you could do that, I would be satisfied. [20:38] Jody: ROBIN WRIGHT JR.: Yeah, no problem at all. So OK, so that's just the wording. And in the policy is what I'm bringing up right now. So from doing my, from the actual technology package, it's got the policy on and here is the territorial limits inside the actual policy. So what they're trying to say is that in the, in our policy, our territorial limits are worldwide right here. So I don't know if that's enough. That's what it says. There so the policy package is the wording and the territorial limits are worldwide for us okay. [21:30] Carl: Good thank you absolutely good yeah you make a motion to approve that I'll make that motion approve second all in favor all opposed so voted approved we'll get we'll get that signed and ship back thank you very much and what I know we're a little busy on this end with year-end closing and stuff taxes coming due and all that so we'll get that back just [22:13] Jody: As quick as we can you know I appreciate on the timeline are we looking at the next few weeks or [22:19] Carl: They're gonna have to check with the final office I know I know they're they're down some people right now and it's they got a lot going on so we'll have to we'll have to see what they come up with but yes we [22:34] Speaker C (unidentified): We will go ahead and improve this Rob as soon as that's signed and over to you just give me a quick [22:40] Speaker E (unidentified): Shot across the balance work together to get you the data you need for this poll and whatever the [22:45] Carl: Differential will need to be yes sir we'll do great okay great well thank you very much thanks guys have a great day appreciate your time okay thank you anything else anyone else have any thing for the committee okay motion to adjourn all those in favor all those opposed so voted [23:06] Speaker B (unidentified): Ken you got five minutes it's a personal issue any [23:24] Speaker C (unidentified): Word from Jones any word from Jones and Jones thank you very much thank you
